These Terms & Conditions ("Terms") govern your communications with BaseLedger LLC ("BaseLedger," "we," "us," or "our"), including any text messages, calls, or emails exchanged in connection with our acquisition outreach. By submitting the BaseLedger contact form and checking the SMS consent box, you agree to these Terms.
1.About BaseLedger
BaseLedger LLC is a family-run acquisition company based in Spokane, Washington. We reach out to owners of small bookkeeping firms to explore whether an acquisition might make sense for them. We are not a lender, broker, financial advisor, or franchise; we are a private buyer.
2.SMS / text messaging program
What the program is
The BaseLedger text messaging program is a one-to-one conversational program used to follow up with bookkeeping-firm owners about a potential acquisition. We do not send mass-marketing texts, promotional offers, or solicitations unrelated to a possible transaction.
How you opted in
You will only receive a text from BaseLedger if you have submitted the BaseLedger contact form, provided your phone number, and affirmatively checked the box agreeing to receive recurring automated text messages. We do not text any phone number that has not completed this opt-in. The express opt-in language you agreed to states:
"I agree to receive recurring automated text messages at the phone number provided. Msg & data rates may apply. Msg frequency varies. Reply HELP for help and STOP to cancel. View our Terms of Service and Privacy Policy."
Your consent is not a condition of any purchase or transaction, and you may withdraw it at any time.
Message frequency
Message frequency varies based on the conversation. You should expect only the number of messages necessary to schedule, follow up on, or continue an acquisition discussion you are participating in.
Cost
Message and data rates may apply. BaseLedger does not charge any fee to send or receive messages, but your mobile carrier may charge you for messages sent or received depending on your plan. Please check with your carrier if you are unsure.
Carrier disclaimer
Carriers are not liable for delayed or undelivered messages. Delivery of messages is subject to the effective transmission by your mobile carrier and is not guaranteed.
3.HELP and STOP keywords
You can manage your participation at any time using the keywords below. Send the keyword to the same number we use to text you.
The keywords END, QUIT, CANCEL, UNSUBSCRIBE, and STOPALL will also be honored as opt-out requests. You may also opt out at any time by emailing us at the address at the bottom of this page.
4.Supported carriers
Our text messages are sent through standard SMS messaging and are compatible with all major U.S. carriers, including AT&T, Verizon Wireless, T-Mobile, US Cellular, Sprint, Boost Mobile, Cricket Wireless, MetroPCS, Google Fi, and most regional carriers. Carriers are not liable for delayed or undelivered messages.
5.Privacy
Information you share with us is handled in accordance with our Privacy Policy. In particular, mobile information will not be shared with third parties or affiliates for marketing or promotional purposes, and we do not sell or rent your personal information.
6.Accurate information; eligibility
By providing your mobile number, you represent that the number is yours (or that you are authorized to provide it on behalf of the business it belongs to) and that you are at least 18 years old. You agree to notify us if your number changes or is reassigned.
7.No professional advice; no offer
Our communications are exploratory. Nothing we send by text, email, call, or any other channel constitutes legal, tax, accounting, or financial advice, a binding offer to purchase, or a commitment of any kind. Any acquisition would only be binding pursuant to a separately negotiated written purchase agreement signed by both parties.
8.Confidentiality
We treat the substance of our acquisition discussions as confidential and ask that you do the same. We are happy to put a mutual non-disclosure agreement in place if our conversation progresses to the point of sharing sensitive information.
9.Disclaimer of warranties
Our communications and the BaseLedger website are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, BaseLedger disclaims all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, as well as any warranties regarding the timeliness, accuracy, or delivery of any text message or other communication.
10.Limitation of liability
To the fullest extent permitted by law, BaseLedger LLC and its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to the text messaging program, our communications, or these Terms — even if advised of the possibility of such damages.
11.Governing law
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law principles. Any dispute relating to these Terms or our communications shall be resolved exclusively in the state or federal courts located in Spokane County, Washington, and you consent to the personal jurisdiction of those courts.
12.Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Effective" date at the top of this page. Material changes will be communicated to active correspondents where reasonably practicable. Your continued participation in our communications after the revised Terms are posted constitutes your acceptance of those changes.
